The Firm assists its clients in all areas of banking and financial markets law.
In particular, the Firm’s professionals are able to advise on listing and IPO procedures and on the governance of listed companies, also dealing with financial intermediaries and all other operators of regulated markets, assisting banks and clients in litigation on usury and compounding of interest and in all other disputes of a judicial nature. They also provide advice in the drafting and interpretation of banking contracts and have a high level of specialization also in factoring, securitization of loans and non-cash payment instruments.
The Firm provides consultancy services for listing on regulated markets and IPO processes. It assists listed companies in their internal reorganization processes, also with a view to implementing best practices in terms of corporate governance and the adequacy of internal structures. It provides legal assistance to all types of financial intermediaries and their stakeholders.
The Firm’s professionals, thanks also to their academic studies, have significant experience in the securitization of loans. They are able to assist clients both in the securitizations set out in Law No. 130 of 30 April 1999 (“Provisions on the securitization of loans”) and in the sale of non-performing loans (NPLs) pursuant to Decree Law No. 18 of 14 February 2016, in combination with Law No. 49 of 8 April 2016, concerning: “Urgent measures for the reform of cooperative banks, guarantees on securitized bad loans, taxation in crisis procedures and collective asset management”.
The professionals working at Studio Maffei Alberti e Associati include scholars who have contributed decisively to the study of factoring and the assignment of trade receivables (Law No. 52 of 21 February 1991 “Rules for the assignment of trade receivables”), and who, as lawyers, assist clients in all matters related to these issues, both in and out of court.
